1 The agreement
Sentraform is operated by Haggard Newman LLC, a Michigan limited liability company doing business as Sentraform. In these Terms, "Sentraform", "Haggard Newman", "we", "us", "our", the "Platform" and the "App" (collectively, the "Company") refer to Haggard Newman LLC, which operates the Sentraform services. These Terms are a contract between the Company and the business, organization, or individual acting for business purposes that accepts them ("Customer", "you"). They cover our form builder, hosted and embedded forms, response management, analytics, lead scoring and assignment, electronic signatures, file uploads, the emails we send for you, and related support and documentation (the "Services").
Who charges you. Haggard Newman LLC sells every paid plan and bills you through our payment processor, Stripe.
You accept these Terms by clicking Create account when you sign up, by ticking the box to agree when you buy a plan, or by signing an order that refers to them. If you accept for an organization, you confirm that you have authority to bind it. "Authorized Users" are the people you allow to use your account. You are responsible for their use of the Services.
A "Respondent" is a person who enters information into one of your forms, whether or not they submit it. Respondents are not Customers and take on no obligations under these Terms. Your own notices and the law govern how you collect and use their information. Our Privacy Policy explains how we handle it. Accepting these Terms does not replace any consent the law requires you to get from a Respondent.
If you and we have signed a separate master agreement or order, it controls where it expressly conflicts with these Terms. A separately signed data processing or regulated-data agreement controls for its subject. The Privacy Policy describes our practices. It does not allow us to do more with Customer Data than these Terms and the law allow. Section 8 sets out the terms on which we process personal information for you under US privacy laws.
2 Eligibility and account responsibility
You and your Authorized Users must be at least 18 and able to enter a contract. You confirm that you are using the Services for business purposes and not for personal, family, or household use.
Give us accurate account and billing information and keep it current. Protect your passwords and sign-in codes. Tell us promptly at security@sentraform.com if you suspect unauthorized access.
Your organization controls the accounts opened on its behalf, subject to verification and the law. Name your administrators, manage permissions, and remove access when someone no longer needs it. We will not transfer an account or disclose its data to someone only because they claim a connection to your organization or use a similar email domain.
The Services are offered for use in the United States. Do not use them to target or knowingly collect personal information from people located outside the United States unless we agree in writing and the required data-protection terms are in place. Do not give access to anyone, or use the Services anywhere, prohibited by US export control or sanctions laws.
You are responsible for the lawful purpose of your forms and for the notices, permissions, and follow-up actions you control. This does not reduce our own legal or contractual obligations.
3 Access and permitted use
While your account is active, we give you a limited, non-exclusive right to use the Services for your business within the limits of your plan. You may publish and embed forms on websites you are authorized to operate. You may build forms for your clients where your plan allows it and you have their authority. Respondents may use your published forms without an account.
You may not resell access to the platform, remove required Sentraform attribution unless your plan allows it, or let unrelated businesses use your account without our written approval. Agency, reseller, and white-label use must be allowed by your plan or a separate agreement. We keep all rights we do not expressly grant.
4 Free plan, free trials and new features
Free plan. Free costs nothing. Its features and limits are on our pricing page. Using Free, or a free trial, doesn't authorize any charge. We charge you only after you buy a paid plan and agree to pay.
Changes to Free. We may change Free's features or limits, or stop offering Free. We'll email your workspace's Admins at least 60 days before we reduce Free's features or limits, or stop offering it. Reducing Free doesn't delete your forms, responses or files. If we stop offering Free, you can buy a paid plan, or export your Customer Data (Section 19), before it ends.
Free trials. A new workspace gets a free 30-day trial of Org, or of Pro if you started from Pro on our pricing page, subject to one trial per person (below).
- A trial needs no payment card and never turns into a paid plan on its own.
- While it runs, you can switch it between Pro and Org. The end date stays the same.
- When it ends, your workspace moves to Free, unless you've bought a plan.
- Everything you made stays, and links you've shared keep working.
- Features Free doesn't include stop, and responses past Free's monthly allowance are held (Section 6).
- You can buy a plan during a trial (Section 5.6).
One trial per person. Each person gets one free trial, counted by email address. We treat variations of one address as the same address. We may refuse or end a trial gained through extra accounts. We may change, stop or extend trials, but we won't shorten one that's already running.
New features. Features we announce before they launch aren't part of any plan until they launch. Features we label beta, preview or experimental may change or stop, and may have limits we tell you about. Check them before you rely on them.
What still applies. Our confidentiality, data-use and security commitments in Sections 7, 8 and 17 apply to Free, trials and new features. So do duties the law doesn't let us disclaim.
5 Paid plans and billing
This section applies once you buy a paid plan. If you've signed an order or agreement with us, for example for Enterprise, it controls price, limits, billing, renewal and payment wherever it differs from this section.
5.1 Plans and prices. Paid plans are subscriptions, billed every month or every year.
- Our pricing page and Settings → General → Plan show each plan's price and what it includes, such as its monthly responses and users.
- Users are people who build forms or manage your workspace. Viewers and Auditors are free and unlimited on every plan.
- Prices are in US dollars and include any sales tax that applies (Section 5.11).
- Our pricing page shows which plans you can buy online, and which are by waitlist or signed agreement. For those, email sales@sentraform.com.
5.2 Who can buy. Admins of your workspace, and anyone else you let manage its settings, can buy, change or cancel its plan. You're responsible for what they buy. Whoever buys must have confirmed their email address. You need a billing address in the United States to buy a paid plan. A workspace has one subscription at a time.
5.3 Checkout and our record of your agreement. You buy in Settings → General → Plan. Our payment processor, Stripe, takes your card in its secure fields, inside Sentraform or on Stripe's own checkout page. We never see or store your full card number.
Before you pay, checkout shows:
- the plan and its price for each billing period;
- what you'll pay today, or when your first charge is;
- how renewal and cancellation work; and
- our refund policy.
You agree by ticking the box that says so. We keep a record of the words you saw, when you agreed, which account agreed, the plan and price, and the version of these Terms. When you agree to change your plan, we keep the same record of the change.
5.4 Automatic renewal.
Your plan renews automatically at the end of every billing period, every month or every year, until you cancel. Each renewal charges your payment method your plan's price at that time. You can cancel online at any time in Settings → General → Plan. When you cancel, your plan stays active until the end of the period you've paid for, and you won't be charged again.
5.5 Reminders. We email your billing contact (Section 5.13):
- 30 to 40 days before a yearly plan renews;
- once a year on a monthly plan, to remind you of its terms; and
- before the first charge of a plan you bought during a trial (Section 5.6).
Each reminder gives the plan, the date, the amount, and a link to cancel or change it. We'll also send any other reminders the law requires.
5.6 Buying during a trial. You can buy a plan while your trial runs. Your trial keeps running to its end date, and until then you get the higher of the two plans. Then your workspace switches to the plan you bought.
Checkout tells you when your first charge is: when your trial ends, or the day you buy. If it's when your trial ends:
- nothing is charged until then;
- you can cancel before then in Settings → General → Plan, and you won't be charged; and
- we'll email you a reminder at least 7 days before the first charge, unless you bought within that reminder period. If you did, your purchase confirmation gives the date.
5.7 Changing your plan. You change your plan in Settings → General → Plan. Before you confirm, the app shows what changes, what you'll pay today, and your next charge and its date, and you agree to them.
- Upgrading to a higher plan takes effect right away. We charge the difference for the rest of your current billing period, prorated for the time left, either right away or on your next bill. The app tells you which. If an upgrade also changes how often you're billed, your new billing period starts that day, and we charge for it then, with credit for the unused part of your old period.
- Switching from monthly to yearly billing takes effect right away. Your yearly period starts that day, and we charge for it then, with credit for the unused part of your month.
- Downgrading to a lower plan, or switching from yearly to monthly billing, takes effect at the end of your current billing period. You keep your current plan until then, and you can undo the change before then. If a downgrade takes effect right away instead, the app tells you before you confirm, and the unused part of your current period becomes a credit toward your future charges.
- Before a first charge that waits for your trial to end, a change takes effect right away, and nothing is charged until the trial ends.
- While a payment is past due, you can't upgrade or switch to yearly billing until you update your payment method. You can still downgrade or cancel.
5.8 Cancelling. You can cancel online at any time in Settings → General → Plan. You don't need to call or email us.
- Your plan stays active until the end of the period you've paid for, and you can undo the cancellation until then.
- Then your workspace moves to Free, and we stop charging you.
- If you cancel a plan you bought during a trial before its first charge, the plan doesn't start and you're not charged.
- Cancelling doesn't close your workspace or delete anything (Section 19).
If you can't cancel online, email billing@sentraform.com and we'll cancel for you.
5.9 Refunds and credits.
- Payments are non-refundable, including for unused time, except where the law requires a refund or these Terms provide one.
- When you cancel, you keep your plan until the end of the period you've paid for, and we don't refund partial periods.
- We'll refund an amount we charged in error, such as a second subscription for the same workspace.
- These Terms provide a refund of unused prepaid fees in a few cases, for example if we end the Services when you haven't broken these Terms (Sections 6, 8, 18, 21 and 24).
- We may give other refunds or credits at our sole discretion. Giving one doesn't oblige us to give another.
- Credits apply to your workspace's future charges and aren't paid out in cash.
- To ask for a refund or credit, email billing@sentraform.com.
5.10 Price changes. We may change our prices. If a change affects your subscription, we'll email your billing contact at least 30 days before the new price applies, and tell you how to cancel. A new price applies from your first renewal after that notice, never in the middle of a period you've paid for. A change that needs a new payment authorization from you takes effect only after you give it.
5.11 Taxes. Our prices include any sales tax we're required to collect, so nothing is added at checkout.
5.12 Failed payments.
- If a payment for your plan fails, we'll email your billing contact, show a notice in Sentraform, and retry your payment method.
- Your plan keeps working for a grace period of at least 7 days. The email and Settings → General → Plan show the date it ends.
- To fix it, update your payment method in Settings → General → Plan.
- If the payment still hasn't gone through when the grace period ends, we end your subscription and move your workspace to Free.
- Your forms stay open, links keep working, and nothing is deleted. Responses past Free's monthly allowance are held, and new files may be held (Sections 6 and 11).
- We don't try to collect the missed payment after that.
5.13 Billing contact, invoices and questions. Your billing contact is the email address on your payment account. It starts as the address of the person who bought, and you can change it in Stripe's billing portal, which you open from Settings → General → Plan. Haggard Newman LLC issues your invoices through Stripe, and you can see them in Settings → General → Plan. Send billing questions to billing@sentraform.com. If you think a charge is wrong, tell us there within 60 days where you reasonably can, and please contact us before you dispute it with your bank. This doesn't limit your rights under the law or with your card issuer.
6 Plan limits and changes to plans
Limits. Each plan has limits. Our pricing page shows each plan's responses a month, users, file storage, largest file and, on Free, how many live forms can have a signature. Settings → General → Plan shows your workspace's responses, users and storage against its plan. To protect the Services, we may also limit how many files one question takes, how many emails a workspace sends a day, and how often some actions can be repeated. We don't charge overage fees.
Responses past your monthly allowance. Your allowance counts the responses received in a calendar month (UTC).
- Past it, your forms keep working and Respondents see no difference.
- We save the extra responses but hold them. You can't see or export them until your allowance covers them. They're never assigned, and they never send alerts or confirmations, even once you can see them.
- Upgrading shows them right away, up to your new plan's allowance.
- Each month's allowance starts from zero. Responses held in an earlier month stay held until you upgrade, and they don't use up a later month's allowance.
- We tell you by email the first time each month that a response is held, and Settings → General → Plan shows how many are waiting.
- We don't delete held responses because you're over your allowance. If you need one deleted, for example because a Respondent asked, an Admin can email support@sentraform.com and we'll delete it without requiring an upgrade.
Users. You can't add users past your plan's limit. Viewers and Auditors don't count. If you move to a plan with fewer users, nobody loses access, but you can't add users until you're within the limit.
Signatures on Free. Free includes signatures on the number of live forms shown on our pricing page. If your plan changes, or we lower that number, forms that are already live keep their signatures working.
Moving to a lower plan. Before a downgrade or cancellation takes effect, the app shows what you'll lose and when.
- Moving to a lower plan, or to Free, deletes nothing. Your forms, responses, files and signature records stay, and links you've shared keep working.
- Features your new plan doesn't include stop.
- New responses past its allowance are held, and new files past its storage may be held or turned away (Section 11).
- Export what you need while you can see it (Section 19).
Changes to plans and the Services. We may maintain, update and improve the Services, and change what each plan includes.
- If we materially reduce core paid functionality during a period you've paid for, we'll give you at least 30 days' notice where we can.
- If the reduction materially prevents your contracted use and we can't reasonably fix it, you may end the affected Services and get a prorated refund of unused prepaid fees.
- Security, legal and third-party platform changes may require faster action.
Over-limit data. We don't delete Customer Data because you're over a limit.
7 Customer Data and intellectual property
What Customer Data is. "Customer Data" means the content and information that you or Respondents provide through your forms or account for us to process on your behalf. It includes form designs, submitted answers, files Respondents upload, signature records, values saved from a form's link, the IP address and time saved with each response, contact records, the team lists you set up to assign responses, and form-progress records. Account, billing, and service administration information that we handle for our own relationship with you is not Customer Data and is covered by the Privacy Policy. Calling something service information does not let us reuse your form answers.
Who owns it. You and your licensors keep your rights in Customer Data. Respondents keep their rights under the law. We do not own Customer Data.
What we may do with it. You give us a non-exclusive right to host, copy, transmit, organize, display to authorized recipients, and otherwise process Customer Data. We may do so only to provide the Services, follow your lawful instructions, protect the Services, and meet legal obligations. This right lasts for the processing period described in Sections 8 and 19. We may pass it to our contracted service providers only as needed for those purposes.
What we will not do. We will not sell Customer Data. We will not use identified form answers for our own advertising, build profiles of Respondents across unrelated Customers, or use Customer Data to train artificial intelligence models.
De-identified statistics. We may use de-identified, aggregated operational statistics, such as completion and error rates, to maintain and improve the Services. We keep reasonable safeguards against re-identification and will not try to re-identify them. This is not a license to commercialize form responses.
Our materials. Sentraform and its licensors own the platform, software, designs, documentation, trademarks, and supplied templates. You may adapt our templates for your permitted use. Templates are starting points and are not legal advice; review them yourself before use.
Public sharing. Publishing a form does not publish its responses. We will ask for your separate agreement before any template you create is added to a public gallery or any responses are shared publicly.
Feedback and publicity. If you give us product feedback, we may use it without payment. This does not cover Customer Data, confidential information, or personal information included by mistake. We will use your name, logo, or testimonial in public marketing only with your permission.
8 Data processing terms for US privacy laws
Roles and instructions. For personal information in Customer Data, you decide the purposes of collection and the permitted recipients. You act as the controller or business, or as a processor for your own client. Sentraform acts as your processor, service provider, or contractor, as the applicable law names the role. Your account settings, form configurations, these Terms, and written requests we agree to are your documented instructions. We may decline an instruction we reasonably believe is unlawful and will tell you unless the law forbids it.
Scope of processing.
| Item | Description |
|---|---|
| Subject matter | Operating your forms and the related response workflows. |
| Nature of processing | Collection, storage, organization, retrieval, assignment to your team, authorized export, protection, and deletion. |
| Business purposes | Hosting forms; recording responses, files, signatures and form progress; managing responses and contacts; assigning responses to your team members; sending the alerts and confirmations you set up; scanning files for malware; customer support; security. |
| People concerned | Respondents, your contacts and prospects, and people whose information you are authorized to upload. |
| Types of data | Contact and professional information; form responses and metadata; files Respondents upload; signature records (signer's name, signing method, consent wording, time and IP address); values saved from a form's link, such as ad click IDs and UTM tags; information Section 9 allows only with our written approval. |
| Duration | While your workspace is open, plus the export, deletion, backup, and legally required retention periods in Section 19 and the Privacy Policy. |
Limits on our use. You disclose this personal information to us only for the limited business purposes in the table. We will process it only for those purposes and on your lawful instructions, unless the law requires otherwise. We will not:
- sell it or share it for cross-context behavioral advertising;
- keep, use, or disclose it outside our direct business relationship with you or for any purpose other than those in the table, except as the applicable privacy law allows a service provider to do; or
- combine it with personal information from another Customer or from our own independent sources, except as the applicable privacy law allows.
We certify that we understand these restrictions and will comply with them. We will give this personal information the level of privacy protection the applicable privacy law requires of our role.
People and safeguards. Our personnel who can access Customer personal information are bound by confidentiality obligations. We maintain administrative, technical, and organizational safeguards appropriate to the risk and the types of data. You must configure your own permissions, recipients, and collection practices lawfully. Each party remains responsible for the obligations that apply to its role.
Subprocessors. We use the subprocessors listed on our subprocessor list page, at sentraform.com/subprocessors, under written contracts that protect the information and pass on the processor duties that apply. We remain responsible for their work. We'll post a new subprocessor on that page at least 30 days before it starts handling Customer personal information, and that posting is our notice to you. If you have a signed data processing agreement with us, we'll also email you. If we must replace a subprocessor urgently, we'll post the change as soon as we can. You may object on reasonable data-protection grounds within 15 days after a posting. We will discuss a reasonable solution with you. If there is none, you may end the affected Services and receive a prorated refund of unused prepaid fees.
Helping you comply. Taking into account the nature of the processing and the information available to us, we will reasonably help you respond to individual rights requests, meet your security obligations, and complete required data protection assessments.
Security incidents. We will notify you without undue delay after we become aware of a security incident involving unauthorized access to, disclosure of, or loss of Customer personal information. We will share the information we have and cooperate reasonably so you can meet your notification duties. A stricter legal or separately agreed deadline still applies.
Checking our compliance. We will make available the information reasonably needed to show our compliance. You or an independent assessor may carry out reasonable assessments under confidentiality and security safeguards. We may provide current independent assessment reports where they are adequate. We may ask to schedule routine assessments to avoid disruption, but this cannot block an assessment the law requires or one reasonably needed after an incident or credible concern. You may take reasonable steps to confirm that we use the information consistently with your obligations and, after notice, to stop and remedy any unauthorized use.
If we cannot comply. We will tell you promptly if we decide we can no longer meet our obligations under an applicable privacy law, and will work with you to suspend or fix the affected processing.
Return and deletion. On your lawful instruction or when the Services end, we will return or delete Customer personal information under Section 19, unless the law requires us to keep it. Anything we keep stays protected and is used only for the reason it was kept.
What this section does not do. It does not create a mechanism for transferring personal information internationally, and it does not allow data that Section 9 excludes.
9 Financial, identity, and other sensitive information
Not allowed without our written approval. Don't use the Services to collect any of the following, by a question or by a file upload, unless we've approved it in writing:
- Social Security numbers;
- full bank account numbers or full payment card numbers;
- driver's license, passport, or other government ID numbers; or
- health information protected under HIPAA. We don't sign business associate agreements today.
This includes a document or image that shows one of them, such as a photo of an ID card. General access to the Services doesn't approve any of these uses.
Never collect these. Don't use a form to collect passwords for other services, sign-in or authentication codes, card security codes, or PINs. Sentraform forms don't take card payments.
Other categories that need our written approval. Don't collect any of the following unless we have approved it in writing, the controls are verified, and all necessary agreements are signed:
- other health information, including consumer health data regulated by state law;
- biometric identifiers used to identify a person;
- precise geolocation from a device, such as GPS coordinates;
- information collected directly from children under 13; and
- data that requires specialized government or industry safeguards.
If we approve a workflow. You must have a legitimate purpose, give a clear collection notice, get any authorization or consent the law requires, collect only what you need, and limit access and retention to that purpose. We may ask for reasonable evidence of your authority and may require you to change collection that is unnecessary or unsafe.
If it's collected anyway. We may restrict or suspend a form that collects information this section doesn't allow. We will handle data already received as the law requires.
Your regulatory responsibilities. You are responsible for the laws that govern your financial products, identity checks, consumer reporting, credit decisions, and onward disclosures. Sentraform provides software and administrative tools, and lead scores follow rules you set. We do not approve credit, verify that an application is truthful, or give legal, financial, or compliance advice.
10 Electronic signatures
What we provide. A form can include a Signature question. A Respondent signs by typing their name or by drawing, as the question allows. Unless you turn it off, the Respondent must also tick a box agreeing to sign electronically, in wording you can edit.
The signing certificate. When a signed response is submitted, we create a certificate and keep it with the response. It records:
- the signer's name as the response gives it, and how they signed;
- the consent wording they saw, and whether they agreed;
- the time on our servers, and their IP address;
- the form and its version; and
- an envelope ID.
It also holds a SHA-256 fingerprint of the answers, these details and any drawing. If any of them changes later, they no longer match the fingerprint. We keep the fingerprint with the response, and it covers uploaded files by their IDs, not their contents. The Respondent sees the envelope ID when they submit, and you can see the certificate with the response.
What it doesn't do. We don't verify a signer's identity, and we don't send the signer a copy of what they signed. The certificate is our record of what was submitted and when. It isn't proof of who signed or why, and it doesn't make a signature valid for any purpose.
Your responsibility. You decide whether an electronic signature is right for your purpose, and you're responsible for meeting the laws that apply to it. Depending on the document and the signer, those laws may ask for more. Examples:
- giving a consumer certain disclosures, and getting their consent, before using electronic records;
- verifying the signer's identity;
- giving the signer a copy; or
- keeping records in a certain way.
Some documents can't be signed electronically. Our default consent wording is a starting point, not legal advice. Have your own counsel review the wording you use.
Limits and retention. Free includes signatures on a limited number of live forms (Section 6). Drawings are kept as images in private file storage, are scanned like other files, and don't count toward your storage. A certificate, and any drawing, is kept with its response and deleted with it.
11 File uploads
Your content. A form can include a File upload question, and the files Respondents upload are Customer Data. You're responsible for what you ask Respondents to upload, for having a lawful reason to collect it, and for how you use it. Don't ask for anything Section 9 doesn't allow, such as a photo of an ID card.
When files arrive. A file uploads as soon as the Respondent adds it, so it's ready when they submit. Answers are saved only when the Respondent clicks Submit. You see a file only once its response is submitted. If it never is, we delete the file after 24 hours.
File types. A question takes only the kinds of file you allow, and only types we support. We always block some types: SVG images, web pages and other HTML or XML files, scripts and programs, archives, and Office files with macros. We check that a file's contents match its type, and refuse it if they don't. We may change the types we support or block.
Malware scanning. We scan every file for malware before anyone can open it, with our own scanner on Google Cloud.
- If the scan flags a file, or can't check all of it, we delete the file, and the response shows that it was removed.
- A file whose scan can't finish stays closed.
- We aren't responsible for files blocked or removed this way.
- No scan catches everything, so handle files with care.
Who can open files. Files are private and never public. In the Services, only signed-in members of your workspace who can see responses can open them, through links that expire after a few minutes. Our staff reach files only as Sections 8, 18 and 19 allow. Files open from our storage provider, never from sentraform.com. Respondents can't download files, including their own. We never attach files to emails.
Storage. Each plan has a storage limit and a largest-file limit, shown on our pricing page and in Settings → General → Plan.
- Files count against storage once they're part of a response. Signature drawings don't count.
- When your storage is full, we may keep new files but hold them. They're listed with the response, but no one can open them until there's room.
- Past a further limit, your forms turn new files away. A form that requires a file then can't be submitted. We email you at most once a day when that happens.
- Upgrading or freeing space opens held files, oldest first.
- Lowering a limit never deletes a file.
Retention. Files follow their response.
- Files are deleted with the response or form they belong to.
- A file that's uploaded but never submitted is deleted after 24 hours.
- Deleted files can stay in our storage provider's recovery copies for up to 7 days.
12 Acceptable use
You must not use the Services to:
- commit fraud, impersonate another person or business, mislead Respondents about who owns a form or why, or carry out phishing or credential theft;
- run pyramid schemes, get-rich-quick offers, or other deceptive schemes;
- collect, disclose, sell, or distribute information without lawful authority, invade privacy, or expose confidential information publicly without permission;
- harass, threaten, or defame anyone, or promote violence, terrorism, or violent extremism;
- attack or promote hatred of people because of their race, ethnicity, religion, disability, sex, sexual orientation, or another protected characteristic;
- facilitate unlawful discrimination, exploitation, trafficking, or other illegal activity, or sell or promote illegal goods or services;
- create, solicit, store, or distribute child sexual abuse material, or non-consensual intimate imagery, including faked images;
- publish obscene or sexually explicit material, or graphic violence;
- infringe or misappropriate intellectual property or other rights, or solicit material you have no right to use;
- send spam or other unsolicited messages, ignore opt-outs, or evade calling, texting, or email rules;
- introduce malware, disrupt or overload infrastructure, gain or try to gain unauthorized access, or evade account restrictions, usage limits, or security controls;
- probe, scan, or test the security of the Services, or reverse engineer the software, without our written authorization, except where a law that cannot be waived allows it;
- use File upload questions to collect or share malware, material you have no right to use, or anything else this section prohibits;
- use the emails we send for you to advertise, to reach people who didn't fill in your form, or to mislead anyone about who sent them;
- use the Services where a failure could lead to death, personal injury, or environmental damage, such as in emergency services or in medical, nuclear, or air traffic control systems; or
- collect information Section 9 doesn't allow, run other unsupported regulated-data workflows, trade unlawfully in regulated goods, or do anything else these Terms prohibit.
Our providers' rules. Your use must also stay within the acceptable-use policies of the providers that host the Services and send our emails: Google Cloud, Vercel and Resend. If one of those policies bars a use this list doesn't name, we may restrict that use too, and we'll tell you why.
If you operate in a regulated industry, you must comply with the laws that apply to you and get any extra approval from us that these Terms require. These Terms do not give you any license your activities need.
What we may do. If you break this section, we may remove or disable a form, or suspend your workspace, as Section 18 describes. For serious abuse, such as phishing, malware, spam, or child sexual abuse material, we may act at once, without notice.
Reporting abuse. Report phishing or spam forms, illegal or harmful content, and other misuse to safety@sentraform.com, or with "Report this form" at the bottom of any form.
13 Lead assignment and customer communications
You control assignment. On plans that include it, round-robin assignment labels each new response with the next person on a team list you set up. It doesn't send the response to that person or to anyone else. You set the list, who can see responses, and your follow-up process. Round-robin assignment is an administrative way of allocating leads. We do not promise equal assignment, uninterrupted notifications, exclusivity, a response time, lead quality, or any sales or advertising result. Check important assignments and keep a fallback process. Responses held over your plan's monthly allowance aren't assigned and don't send alerts, even once they're shown (Section 6).
Sharing leads. Our alerts and assignments stay inside your workspace. If you share responses with anyone else, for example by exporting them, you must have a lawful basis. Verify recipients, name independent recipient businesses in your notices where the law requires, and sign any processing or data-sharing agreements needed. Nothing in the Services makes sharing a lead with another business lawful by itself.
Outreach. You and anyone contacting leads for you are responsible for the permissions, suppression lists, records, and telemarketing, email, and messaging rules that apply. We do not certify that a saved answer is consent to be contacted. A phone number or email address in a response, or an assigned lead, doesn't by itself give you permission to send marketing calls, texts, or emails. Do not say or suggest that Sentraform endorses your business, products, or financial offers.
14 Emails we send for you
These emails are part of plans that include email notifications.
Response alerts. For a form with alerts on, we email a member of your workspace when it gets a response. Alerts name the form and link to Sentraform. They don't include answers or files.
Confirmations to Respondents. If you set them up for a form that collects an email address, we email the Respondent a confirmation when they submit.
- We send it from our email system under your workspace's name, followed by "via Sentraform".
- It carries your form's thank-you text, and your logo and color if you've set them.
- Replies go to your team.
- It may say "Powered by Sentraform".
- Its footer says we sent it for you, and how to tell us about a confirmation the recipient didn't expect.
- We send each one only to the single address the Respondent entered.
Your content and duties. You're responsible for what your confirmations say, and for following the laws that apply to them. Use them only to confirm a response and give information about it. Don't use them to advertise. Our email provider's acceptable-use policy (Section 12) doesn't allow some content and businesses in the emails it sends, such as adult content, gambling, and payday lending. We may stop sending confirmations for a form that misuses them, that those rules don't allow, or whose confirmations often bounce or draw complaints.
Limits. We may limit how many emails a workspace sends a day. Some emails wait until someone who manages your workspace confirms their email address. Responses held over your monthly allowance send no alerts or confirmations. Email can be delayed or go undelivered, so don't rely on it alone.
15 Integrations and third-party services
Your choice. The Services don't connect your forms to other apps or services, and we don't send your responses to anyone else for you. You decide where your data goes next, for example by exporting responses or embedding forms on websites you choose. If we offer a connection later, you'll decide whether to use it, and you authorize only the exchange that connection needs.
Your duties. Review the terms and privacy practices of any site or service you use with Sentraform, and give it only the access it needs. Verify recipients before you export sensitive data. We are responsible for our own processing and conduct. The third party is responsible for its service and its own processing. Third-party availability, access rules, and technical changes can affect how embedded forms work.
16 Link values and ad attribution
Saving values from a form's link. On plans that include hidden fields, a form can save named values from its link with each submitted response, such as ad click IDs (for example, gclid) and UTM tags. Respondents don't see them. A form embedded on a website also receives that page's UTM tags, and any other link values the site's embed code lists.
Nothing goes to advertising services. We don't send these values, or anything else, to Google Ads or any other advertising service. If you use them in your own advertising tools, you do so under your own notices and those tools' terms. Any feature that sends data to an advertising service would need updated terms and disclosures before we offer it.
Your duties. Give accurate attribution disclosures, get the permissions the law requires, honor privacy choices, and follow the terms and policies of any advertising service you use. Keep sensitive information out of links, field names, and values. Do not use link values or responses to measure a sensitive category an advertising service prohibits.
Our right to restrict. We may limit what a form saves from its link, or turn the feature off for a form, if it raises a legal, security, or platform-policy concern.
17 Confidentiality and security
Confidentiality. Each party will protect the other's non-public business information, use it only for the purpose of this agreement, and share it only with people who need it and are bound to keep it confidential, or as the law requires. Customer Data is your confidential information unless you lawfully make it public. Information that a party develops independently, lawfully receives from another source, or that is public without a breach, is not confidential.
Legally required disclosure. If the law requires a party to disclose the other's confidential information, it will give notice where that is lawful and practical and disclose only what is required.
Security. We maintain reasonable safeguards for the Services and Customer Data, consistent with Section 8. You must protect your own systems, access permissions, exported copies, and recipient workflows. No system is perfectly secure. That fact does not reduce any security duty we expressly take on.
18 Suspension, termination, and abuse review
Suspension. We may restrict a form, feature, or account when reasonably necessary to address a material breach, non-payment under a signed order, unauthorized collection, fraud, a security threat, unlawful content, or a legal obligation. Where we can, we will tell you the concern, give you at least 7 days to fix it, and limit the restriction to the affected use. We may act immediately when delay would expose people, data, or the Services to harm or would break the law, or for serious abuse under Section 12. If a payment for your plan fails, Section 5.12 applies instead of suspension.
Your right to leave. You can cancel a paid plan at any time in Settings → General → Plan (Section 5.8). To close your workspace, an Admin emails support@sentraform.com from their own address. Section 19 explains export and deletion after that. Closing a workspace doesn't entitle you to a refund, except where these Terms say so.
Termination for breach. Either party may end this agreement if the other materially breaches it and does not fix the breach within 30 days after written notice. We may end it immediately for serious unlawful or harmful use that cannot reasonably be fixed. If you end it for our uncured breach, we will refund unused prepaid fees for the affected Services.
Termination for convenience. We may end the Services for any reason on 30 days' notice. Ending Free for everyone on it takes at least 60 days' notice instead (Section 4). If we end paid Services, we will refund unused prepaid fees for them.
Reporting abuse. Report suspected abuse to safety@sentraform.com, or with "Report this form" at the bottom of any form. To ask us to review a restriction, email safety@sentraform.com. Include the form's link and the relevant facts. If your evidence includes sensitive information, ask us how to send it first. A report does not guarantee removal.
Our review. We may review relevant content for support, safety, and enforcement. We do not take on a general duty to monitor every form. We will make reports the law requires and preserve or disclose evidence as the law requires.
19 Export, deletion, and retained copies
Export. While your workspace is open, you can export each form's responses as a CSV file and open each response's files. Held responses aren't included until they're shown (Section 6). To ask for a full copy of your data, an Admin can email support@sentraform.com from their own address.
Closing your workspace. To close your workspace, an Admin emails support@sentraform.com from their own address. You then have 30 days to export your Customer Data, unless you ask us to close it sooner. We may verify who you are and require an authorized place to send the data. An urgent security or legal restriction may require a different safe way of returning it. The same 30 days apply if this agreement ends for any other reason, subject to lawful access restrictions and measures needed to protect the data.
Deletion after closure. Unless you ask for earlier deletion, or the law requires otherwise, we delete your workspace's Customer Data within 30 days after the 30-day export window ends. Backups expire within 14 days after that, and stay restricted until then. Deleted files can also stay in our storage provider's recovery copies for up to 7 days. The Privacy Policy sets out the matching retention schedule.
Deleting forms and responses. You can delete a whole form with its responses at any time. A deleted form stays in Trash for 30 days, then we delete it for good, with its responses, files and signature records. To delete a single response, an Admin can email support@sentraform.com, and we'll delete it, with its files and signature records, within 30 days. Deleted data can stay in our backups for up to 14 days, and deleted files in our storage provider's recovery copies for up to 7 days.
What we may keep. We may keep only what we need for legal obligations, disputes, security, and enforcing this agreement, and use it only for those purposes. This includes billing records and the records of your agreement to these Terms and to paid plans, which we keep for the periods in the Privacy Policy.
What doesn't delete data. Turning off a form, cancelling, downgrading, or moving to Free doesn't delete forms, responses, or files. Copies you or your recipients have already exported stay under your and their control.
Your copies. Keep your own copies of the Customer Data you need.
20 Warranties and service limitations
Your promises. You confirm that you have the rights and authority needed for your Customer Data, forms, instructions, and recipients, and that your use of the Services will comply with these Terms and the law.
Disclaimer. EXCEPT FOR THE EXPRESS COMMITMENTS IN THESE TERMS OR A SEPARATE SIGNED AGREEMENT, AND OBLIGATIONS THE LAW DOES NOT ALLOW US TO DISCLAIM, THE SERVICES AND TEMPLATES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE EXTENT THE LAW ALLOWS, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR FREE, THAT EVERY NOTIFICATION WILL BE DELIVERED, THAT DATA WILL NOT BE LOST, THAT ANY ELECTRONIC SIGNATURE WILL BE VALID OR ENFORCEABLE FOR YOUR PURPOSE, THAT MALWARE SCANNING WILL CATCH EVERY HARMFUL FILE, OR THAT THE SERVICES WILL PRODUCE ANY BUSINESS RESULT.
What the disclaimer does not cover. It does not excuse our confidentiality, permitted-use, security, incident-notification, return, or deletion obligations. No service-level credit or uptime guarantee applies unless we agree to one in writing.
21 Third-party claims
Claims you cover. You will defend Sentraform and its personnel against any claim by a third party, including a Respondent or a regulator, that arises from:
- your forms, notices, or consents, or your collection or use of Customer Data, in breach of the law or these Terms;
- your use of lead assignment, link values, electronic signatures, file uploads, or the emails we send for you, in breach of the law or Sections 9 to 16;
- content you supply that infringes someone's rights;
- disclosures to recipients you were not authorized to make; or
- outreach by you or your agents that breaks the law.
You will pay the damages finally awarded, reasonable settlements, and reasonable defense costs. This applies only to the extent the claim results from your acts or omissions. It does not cover losses caused by Sentraform's own breach, negligence, or misconduct. You cover a regulatory fine only to the extent the law allows.
Claims we cover. For paid Customers, we will defend you against a third-party claim that the Services, used as these Terms allow, infringe a US patent, copyright, or trademark. We will pay the damages finally awarded and reasonable approved settlements and defense costs. This does not cover claims caused by your content, unauthorized changes, combinations we did not supply or require, or continued use after we offer a reasonable fix. We may obtain the necessary rights, modify or replace the affected feature, or, if no reasonable fix is available, end it and refund unused prepaid fees.
Process. The party seeking protection must promptly notify the other, let it control the defense, and cooperate reasonably at the defending party's expense. Late notice reduces the obligation only to the extent it materially harms the defense. A settlement that requires the protected party to admit fault, take on a non-monetary obligation, or pay money that is not reimbursed needs its consent, which it may not unreasonably withhold. Both parties' obligations under this section are subject to Section 22.
22 Liability limits
Excluded damages. TO THE EXTENT THE LAW ALLOWS, NEITHER PARTY IS LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS OR REVENUE, ARISING FROM THIS AGREEMENT. Amounts a party must pay to a third party under Section 21 count as direct losses, subject to the limits below.
General limit. EXCEPT AS STATED BELOW, EACH PARTY'S TOTAL LIABILITY ARISING FROM THIS AGREEMENT IS LIMITED TO THE GREATER OF US $100 OR THE FEES YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE FIRST EVENT GIVING RISE TO THE CLAIM.
Data limit. FOR A PARTY'S BREACH OF ITS CONFIDENTIALITY, PERSONAL-INFORMATION PROCESSING, OR DATA-SECURITY OBLIGATIONS, THE TOTAL LIMIT IS INSTEAD THE GREATER OF US $1,000 OR TWICE THOSE 12-MONTH FEES. This higher limit replaces the general limit for those claims. It is a single limit for all related events.
What the limits and exclusions do not cover. They do not apply to:
- fraud or willful misconduct;
- gross negligence;
- liability the law does not allow to be limited;
- fees you owe; or
- your infringement or misappropriation of Sentraform's intellectual property.
Third-party claims. Both parties' obligations under Section 21 are subject to these limits.
Scope. These limits allocate risk between you and us. They do not remove rights that individuals have under privacy law or limit a regulator's authority.
23 Governing law and disputes
Law and courts. Florida law governs this agreement, without regard to its conflict-of-law rules. The state and federal courts located in Miami-Dade County, Florida have exclusive jurisdiction, and each party consents to it, subject to any right to another forum that the law does not allow to be waived.
Talk first. Before starting an ordinary contract claim, a party will give the other written notice (Section 24) and both will try in good faith for 30 days to resolve it. This does not prevent a party from seeking urgent relief, complaining to a regulator, or filing to meet a legal deadline.
Urgent relief. Either party may ask a court for an injunction to protect its confidential information or intellectual property without waiting 30 days.
24 Changes, notices, and general terms
Changes to these Terms. We will give at least 30 days' notice of material changes by account email or a notice in the Services, unless a faster change is reasonably needed for legal or security reasons. We will state the effective date and get your agreement where the law requires it. Changes apply only going forward. If a material change substantially impairs your contracted use during a prepaid term and you do not accept it, you may end the affected Services before it takes effect and receive a prorated refund of unused prepaid fees. Privacy-related changes also follow the Privacy Policy. The date at the top of these Terms is their version. When you agree to these Terms, we record which version you agreed to.
Notices. Send notices to us by email at legal@sentraform.com. We send billing notices to your billing contact (Section 5.13), and other notices to your workspace's Admins, by email or in the Services. You agree that we may give you notices, agreements, receipts, and other records electronically. Keep your contact details current.
Purchase orders. Terms printed on your purchase order do not change this agreement unless we sign an amendment that says so.
Assignment. You may not assign this agreement without our consent, except to an affiliate, or to a successor in a merger, reorganization, or sale of substantially all the relevant assets, that takes on your obligations. We may assign this agreement without your consent to an affiliate or to a successor company, including in a reorganization, merger, or sale of all or part of our business. We will give you notice by email when we do, and the company that takes it on must take on our obligations. Any assignment must keep the data-protection commitments in these Terms in place.
Relationship. The parties are independent contractors. Neither can bind the other.
No third-party rights. This agreement is between you and Sentraform only. No one else, including a Respondent, has rights under it. This does not affect any rights a person has under the law.
Events outside our control. Neither party is responsible for delay caused by an event beyond its reasonable control. This does not excuse payment already due or duties the law requires a party to perform. The affected party must tell the other and take reasonable steps to limit the effect. If the event substantially prevents the affected Services for more than 30 days, either party may end them and we will refund unused prepaid fees.
Severability and waiver. If a court finds a provision unenforceable, it will be narrowed or removed only as far as the law requires, and the rest continues. Not enforcing a provision is not a waiver of it.
Entire agreement. These Terms and the documents they validly incorporate are the entire agreement about the Services.
Survival. Provisions that by their nature should continue after the agreement ends do so. These include payment duties already owed, intellectual property, confidentiality, permitted retention, third-party claims, liability limits, and disputes.

Copyright complaints. Send copyright complaints to our designated agent: Copyright Agent, Haggard Newman LLC, 2912 Brentwood Rd., West Bloomfield, MI 48323; phone (313) 444-2773; email legal@sentraform.com. As 17 USC Section 512 requires, a complaint must:
- identify the copyrighted work and the material you say infringes it, with its location;

- state that you believe in good faith the use is not authorized; and

It must also include your consent to the jurisdiction of the federal court for your address, or, if you are outside the US, a district where Sentraform may be found, and your agreement to accept service. We will forward a valid counter-notice to the person who complained. Where the statutory procedure applies, we will restore the material within 10 to 14 business days unless that person tells us in time that they have filed a court action.
Repeat infringers. We terminate the accounts of repeat infringers in appropriate circumstances, and we reasonably implement that policy. We may also restrict content that breaks these Terms, separately from this procedure.
